These terms govern use of the public website and submission of information to the private Deal & Access Desk.

Confidentiality

Do not submit information you are not authorized to share. A website submission is not a substitute for a separately agreed confidentiality arrangement.

Governing law and disputes

These terms and any non-contractual dispute arising from the website or a submission are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles.

Before starting formal proceedings, a party should give written notice describing the dispute and allow 30 days for a good-faith attempt to resolve it. If it is not resolved, the parties consent, to the extent permitted by law, to the exclusive jurisdiction and venue of the state courts located in Sheridan County, Wyoming, and the United States District Court for the District of Wyoming, as applicable. Either party may seek urgent injunctive or equitable relief where reasonably necessary to protect confidential information, intellectual property, system security or prevent unauthorized disclosure or misuse.
